Terms of Service

Version 5 · Effective 2026-09-27

Last updated: September 27, 2026

1. Who we are

Crexa is operated by The Crexa Group, a Michigan LLC with its principal place of business at Detroit, MI.

These Terms are a binding agreement between you and Crexa. By creating an account you agree to them. If you don't agree, don't use Crexa.

Crexa is a marketplace, not a party to your transactions. We provide software connecting people who want content distributed with people who distribute it, and letting members sell services to one another. We are not your employer, agent, partner, or joint venturer. We don't create, commission, or control content posted through campaigns, and we are not a party to any agreement between a campaign creator and a clipper, or between a buyer and a seller.

2. Eligibility

You must be at least 18 and legally able to enter contracts. You must not be barred from using the platform under the laws of your jurisdiction and must not appear on any applicable sanctions list. One account per person unless we agree otherwise in writing.

3. Accounts and roles

You select a role at registration — Brand, Creator, or Clipper — which determines available features. Some capabilities can be added later. Administrative permissions are granted only by Crexa and cannot be self-assigned.

You're responsible for your account's security and all activity under it. Notify us at support@crexa.io if you believe it's been compromised.

Your display name, photo or logo, bio, self-reported audience figures, social links, trust score, ratings, and service listings are publicly visible, including to people who aren't signed in. Don't put anything in these fields you don't want public.

4. Bounty campaigns

Creating a campaign. A creator posts content, sets a payout rate as a dollar amount per a chosen number of views, sets a budget, and funds it. A campaign becomes visible to clippers only after payment is confirmed.

Funding and fees. The budget is paid in full to clippers as they earn it. The Crexa platform fee is charged in addition to the budget, not deducted from it. The exact fee is displayed before payment. Fees may vary by amount, promotional rate, or individual arrangement, and are always shown before you're charged.

Submissions. A clipper submits a link to content they've published on a platform the campaign targets. The creator reviews and approves or rejects each submission. Rejections include a reason. Only approved submissions earn.

View verification. A clipper reports the current view count for an approved clip, or, where the clipper has connected that platform, Crexa reads the count directly from the platform's own API; the creator reviews and approves or rejects self-reported counts (a platform-verified count may apply automatically — see Section 18). Where threshold increments are enabled, updates are accepted only at full multiples of the campaign's payout interval. Reported counts may never decrease.

Earnings and rate locking. Earnings are calculated automatically from verified view counts at the rate locked to that clip when it was approved, rounded down to the nearest cent, capped by any per-clip maximum and by remaining budget. A creator may improve a campaign's terms but may never reduce them, and changes never alter what an already-approved clip earns. Earnings accrue against a funded budget; they are not payment until a payout is requested, approved, and settled.

Editing and cancellation. Campaign terms may be edited in the direction more favorable to clippers only. A campaign may be cancelled and its unspent budget refunded, minus a cancellation fee shown before you confirm — but not while any clipper is still owed money. The original platform fee is not refunded.

Flagging. A creator or Crexa may flag a clip — for anomalous view growth, or content not meeting stated terms. Flagging stops further accrual pending review. Flagging never reverses or reclaims amounts already earned or paid.

Automated screening. View submissions are automatically screened for unusual growth patterns and surfaced for human review. This is a review aid, not a guarantee that engagement is authentic.

5. The marketplace

Any member may list services. Sellers set their own prices and descriptions. Buyers send a brief; the seller accepts or declines. Each order has a private message thread between the two parties.

The platform fee for marketplace transactions is deducted from the seller's listed price. The seller's net is shown before the transaction.

Buyers control completion. Payment transfers to the seller only when the buyer confirms the work is complete. If an order stalls, either party may contact Crexa, and we may resolve it administratively. Where Crexa records a transaction as settled outside the platform, that reflects an administrator's attestation, not an automated transfer.

6. Ratings

After a payout settles or an order completes, both parties may rate each other on specific criteria. Ratings are hidden until both parties submit or a set window passes, so no one can rate in response to being rated. Ratings are permanent once submitted. Crexa may remove a rating that violates these Terms.

7. Payments, payouts, and taxes

Processing. Payments are processed by Stripe, Inc. Crexa does not collect, see, or store your card details. To receive money you must complete Stripe Connect onboarding and agree to the Stripe Connected Account Agreement, incorporated here by reference.

Payouts. Once you have a claimable balance you may request a payout. On approval, funds transfer from Crexa's platform balance to your connected Stripe account. Timing to your bank is governed by Stripe.

Refunds and chargebacks. Crexa bears responsibility for Stripe processing fees and for losses from chargebacks and negative balances on the platform account. This doesn't limit our right to recover from a member whose conduct caused the loss, or to suspend an account pending investigation.

Taxes. You are solely responsible for taxes on amounts you earn. Crexa does not withhold. Where required, we or Stripe may issue tax forms based on your payout activity. You're responsible for the accuracy of the tax information you provide.

Independent contractor status. Nothing here creates employment. Clippers, creators, and sellers are independent contractors with respect to Crexa and to one another. You control how, when, and whether you perform any work. You are not entitled to employee benefits and are responsible for your own expenses and insurance.

8. Content and rights

You keep your content. You retain ownership of content you upload or link.

You warrant you have the rights. By posting a campaign, uploading source content, or submitting a clip, you represent that you own or have all necessary rights, and that its use as contemplated infringes no third party's rights.

License to Crexa. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your content solely to operate and promote the platform. This ends when you delete the content, except for backups or where required for legal or audit purposes.

Between members. Rights in clips created under a campaign are governed by the campaign's stated terms and any agreement between the parties. Crexa is not a party to and does not adjudicate those arrangements.

Source content. Files uploaded as campaign source content are stored privately and available only to signed-in members through time-limited links. Don't upload material you aren't permitted to distribute.

9. Disclosure of paid promotion

Content posted through Crexa campaigns is paid promotional content. FTC guidance requires that a material connection between an advertiser and the person publishing be disclosed clearly and conspicuously.

If you are a clipper, you are responsible for disclosing that your post is paid or sponsored, clearly and conspicuously, on every platform where you publish. Platform-native disclosure tools may satisfy this; a disclosure buried in a caption, hidden behind a "more" link, placed only in a bio, or expressed solely as an ambiguous hashtag generally does not.

If you are a campaign creator, you're responsible for content published on your behalf. State disclosure requirements in your campaign terms and reject submissions that don't comply.

Crexa does not monitor individual posts for disclosure compliance and assumes no responsibility for whether any post complies with advertising law. Failure to disclose may result in removal, flagging, or suspension. Requirements vary by country; if you publish outside the United States you're responsible for the rules where your audience is.

10. Prohibited conduct

You may not:

  • Purchase, generate, or artificially inflate views, likes, follows, or other engagement metrics
  • Misreport view counts or any figure that determines payment
  • Submit content you don't have the rights to use
  • Submit the same clip more than once, or submit under multiple accounts
  • Post content that is unlawful, defamatory, harassing, hateful, sexually explicit, or that depicts or exploits minors
  • Circumvent the platform to avoid fees after connecting through Crexa
  • Attempt to access another member's account, data, or storage
  • Probe, scan, or attempt to breach platform security
  • Scrape the platform other than as permitted by our robots file
  • Use Crexa to launder money, evade sanctions, or finance illegal activity
  • Misrepresent your identity, audience, or affiliation

11. Suspension and termination

We may suspend or terminate an account for violation of these Terms, suspected fraud, legal requirement, or risk to the platform or its members.

Suspension prevents new activity — creating campaigns, submitting clips, listing services, placing orders. Suspension does not forfeit amounts already earned. A suspended member may still request payout of an existing balance, subject to investigation where fraud is suspected.

You may close your account at any time. Closing it doesn't cancel obligations already incurred, and certain records are retained as described in the Privacy Policy.

12. Disputes between members

Crexa is not a party to member transactions and has no obligation to resolve disputes between members. We may, at our discretion, review a dispute and take administrative action based on available records.

Records govern. Where a dispute concerns amounts owed, the platform's own records of verified view counts, approvals, and transfers are authoritative. Self-reported figures not approved through the platform are not binding.

13. Disclaimers

CREXA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that any campaign will attract submissions, that any clip will attract views, that any listing will sell, or that you will earn any particular amount. We do not verify self-reported audience figures. We do not guarantee that automated screening detects all inauthentic engagement.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREXA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES YOU PAID CREXA IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

Some jurisdictions don't allow these limitations; there, they apply to the fullest extent permitted.

15. Indemnification

You agree to indemnify and hold harmless Crexa and its officers, members, and employees from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from your content, your use of the platform, your violation of these Terms, or your violation of any third party's rights.

16. Changes

We may update these Terms. Material changes are posted with an updated version number and effective date. Where a change is material, we may require you to affirmatively accept the updated Terms before continuing to use the platform.

17. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of laws principles.

18. Third-party platforms

Crexa integrates with TikTok, Instagram, and YouTube so clippers can connect an account and have Crexa read view counts directly instead of relying on self-reported numbers, as described in the Privacy Policy. Using those integrations is also governed by that platform's own terms.

By using any Crexa feature backed by YouTube API Services, you agree to be bound by the [YouTube Terms of Service](https://www.youtube.com/t/terms).

Crexa is not affiliated with, sponsored by, or endorsed by TikTok, Meta, Instagram, YouTube, or Google. Those names are used only to describe integrations we built against their public APIs.

19. General

These Terms, with the Privacy Policy, Copyright Policy, Cookie Policy, and Accessibility Statement, are the entire agreement between you and Crexa. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
